These Billing Terms and Conditions (“Terms”) govern the billing, invoicing, and payment practices of Bagsio (“Company,” “we,” “our,” or “us”) in relation to the products and/or services provided to you (“Client,” “you,” or “your”). By purchasing products or using our services, you agree to be bound by these Terms.
1. Invoices
1.1 Issuance
All invoices will be issued electronically via email or through our online billing system unless otherwise agreed in writing.
1.2 Invoice Details
Invoices will include:
- Invoice number
- Date of issue
- Description of products or services provided
- Quantity and unit price
- Applicable taxes or other charges
- Total amount due
- Payment due date
1.3 Disputes
Any billing discrepancies or disputes must be submitted in writing to info@bagsio.com within seven (7) calendar days of the invoice date. Failure to dispute within this period constitutes acceptance of the invoice.
2. Payment Terms
2.1 Payment Methods
Bagsio accepts payments via credit card, debit card, PayPal, and bank transfer.
2.2 Payment Due Date
Unless otherwise agreed, payment is due within thirty (30) days from the invoice date. Payment is considered received only when cleared funds are available to Bagsio.
2.3 Late Payments
- Overdue payments will incur interest at a rate of 1.5% per month, calculated daily from the due date until full payment is received.
- The Client is responsible for all collection costs, including reasonable attorney fees, incurred in recovering overdue amounts.
2.4 Advance Payments
Bagsio may require partial or full advance payment for certain products or services. Services or product delivery may not commence until advance payment is received.
2.5 Suspension of Services
We reserve the right to suspend services or withhold product delivery if any payment is overdue or if the Client fails to comply with these Terms.
3. Taxes and Fees
3.1 Applicable Taxes
All prices and fees are exclusive of applicable taxes, duties, or levies imposed by any governmental authority. The Client is responsible for all such taxes unless a valid exemption certificate is provided.
3.2 Additional Fees
Additional costs incurred due to expedited shipping, changes in order specifications, or special requests will be invoiced separately.
4. Refunds and Credits
4.1 Refund Policy
Refunds are generally not provided unless explicitly agreed in writing or required by law.
4.2 Credits
Credits may be issued for overpayments or billing errors at Bagsio’s discretion. Credits may be applied to future invoices only and are non-transferable.
5. Late Payment Consequences
5.1 Interest Charges
Overdue invoices will accrue interest as described in Section 2.3.
5.2 Collection Actions
Bagsio reserves the right to initiate collection actions, including legal proceedings, to recover unpaid amounts.
5.3 Service or Delivery Suspension
Non-payment may result in suspension of services or withholding of products until payment is received.
6. Dispute Resolution
6.1 Notification
All billing disputes must be submitted in writing to info@bagsio.com within seven (7) calendar days of the invoice date.
6.2 Resolution Process
Bagsio will investigate disputes in good faith and aim to resolve them promptly.
6.3 Unresolved Disputes
If disputes cannot be resolved amicably, either party may pursue resolution through arbitration or litigation under applicable law.
7. Changes to Billing Terms
7.1 Notification of Changes
Bagsio reserves the right to modify these Terms at any time.
7.2 Effectiveness of Changes
Updated terms become effective upon posting on our website or via email. Continued use of our services or payment of invoices constitutes acceptance.
8. Governing Law
These Terms are governed by the laws of the State of North Carolina, United States. Any legal actions arising out of these Terms shall be subject to the exclusive jurisdiction of the courts in Catawba County, NC.
9. Severability
If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
